Payment Terms
This Payment Terms Exhibit is incorporated into and made part of the Professional Services Agreement (the “Agreement”) between Conduit Digital Media, LLC (“Conduit”) and Company (“Client”). Capitalized terms not defined herein have the meanings set forth in the Agreement.
Monthly Retainer Fee
Client shall pay Conduit a fixed minimum monthly fee of $845 (the “Monthly Retainer”), due and payable in advance on the first (1st) day of each calendar month. The Monthly Retainer provides Client with access to Conduit’s platform and personnel as described in the Agreement. Payment of the Monthly Retainer shall be made via credit card or electronic bank transfer (EBT), unless otherwise agreed in writing by the parties.
Invoicing and Payment Terms
Unless otherwise specified in the Agreement or an applicable statement of work, all fees shall be invoiced by Conduit and are due net forty-five (45) days from the invoice date. Client may remit payment via ACH transfer, check, credit card, or other mutually agreed method. Payments made by credit card shall be subject to a 3.45% processing fee, which shall be added to the invoiced amount. All amounts shall be paid in U.S. dollars.
Late Payments; Suspension; Authorization to Charge
If any undisputed invoice remains unpaid for more than fifty-five (55) days from the invoice date, Conduit may, upon written notice to Client, suspend performance of Services until all past-due amounts are paid in full. In addition, Conduit is authorized to automatically charge any outstanding balance to any credit card or bank account on file, and Client hereby expressly consents to such charges and agrees to maintain current and valid payment information on file with Conduit. Conduit’s exercise of its rights under this Section shall be without prejudice to any other rights or remedies available under the Agreement or at law or in equity.
Collection Costs
To the extent permitted by applicable law, Client shall reimburse Conduit for all reasonable costs incurred in connection with the collection of past-due amounts, including attorneys’ fees, court costs, and collection fees.
Rate Card for Additional Services
Services outside the scope of the Monthly Retainer shall be billed in accordance with Conduit’s then-current rate card available on this page. Conduit may modify the rate card upon sixty (60) days’ prior written notice to Client. Any material revisions shall apply prospectively following such notice period.
Taxes
All fees are exclusive of applicable sales, use, value-added, or similar taxes, duties, or governmental charges of any kind. Such amounts may be added to Client’s invoices as required by law, and Client shall be responsible for payment of all such amounts, excluding taxes based on Conduit’s net income.
One-Time Launch Fees
Account and Campaign Setup & Launch Fees. Conduit may charge one-time launch fees on a per-account and per-campaign basis. All such fees shall be disclosed to Client in advance and invoiced accordingly.
Agency acknowledges that a successful campaign launch requires precise tracking implementation, optimized targeting configuration, and a seamless technical rollout, and that such work establishes the foundation for campaign performance. Accordingly, the following one-time fees shall apply, reflecting the strategic planning, technical setup, and custom configuration required to establish a high-performing campaign environment:
- Account Setup & Launch Fee. A one-time fee of $259 per channel shall apply whenever a new advertising channel is added to an account managed by Conduit Digital for the first time.
- Campaign Setup & Launch Fee. A one-time fee of $199 per channel shall apply for each new campaign launched on an existing, previously established account.
Such fees are non-recurring, are due upon initiation of the applicable setup work, and are separate from and in addition to any ongoing management or media fees set forth elsewhere in this Agreement.
No Offset
Client shall make all payments due under this Agreement without setoff, deduction, or withholding, except as required by applicable law.
Exhibit B
Data Processing Addendum
This Data Processing Addendum (“DPA”) is entered into as of the Effective Date by and between Conduit Digital Media LLC (“Conduit”) and the Company/Agency (“Controller”). This DPA forms part of and supplements the parties’ underlying services agreement (the “Agreement”). The parties hereby agree as follows:
Definitions
“Applicable Data Protection Laws” means all laws applicable to the processing of Personal Data under the Agreement, including, where applicable, Regulation (EU) 2016/679 (“GDPR”), the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”), and other applicable U.S. state privacy laws.
“Personal Data” means any information relating to an identified or identifiable individual, including “personal information” as defined under the CCPA.
“Process” or “Processing” means any operation performed on Personal Data.
Roles of the Parties
The parties acknowledge that Controller acts as the controller or business, and Conduit acts as the processor or service provider with respect to Personal Data. Conduit shall process Personal Data on behalf of Controller for the purposes described in the Agreement.
Controller shall be responsible for providing all required notices and obtaining any necessary consents or permissions required for Conduit to lawfully process Personal Data.
Conduit shall not sell or share Personal Data, including for cross-context behavioral advertising, and shall not retain, use, or disclose Personal Data outside of the direct business relationship with Controller, except as permitted by Applicable Data Protection Laws.
Scope and Purpose of Processing
Conduit shall process Personal Data as necessary to provide the services under the Agreement and in accordance with Controller’s documented instructions as set forth in the Agreement or otherwise mutually agreed in writing.
Notwithstanding the foregoing, Conduit may process Personal Data for the following business purposes, to the extent permitted by Applicable Data Protection Laws: performing the services, maintaining or servicing accounts, providing customer service, processing transactions, verifying information, detecting and preventing security incidents or fraud, debugging and repairing errors, ensuring system integrity, internal research for technological development, and improving the quality and performance of its services, provided that such processing does not include selling or sharing Personal Data or using Personal Data for cross-context behavioral advertising.
Compliance with Laws
Each party shall comply with Applicable Data Protection Laws applicable to it. Conduit shall promptly inform Controller if it determines that it can no longer meet its obligations under Applicable Data Protection Laws.
Conduit shall not be required to comply with any instruction that would cause it to violate Applicable Data Protection Laws or materially increase its obligations beyond those set forth in the Agreement without mutual written agreement.
Data Subject Rights
Taking into account the nature of the processing, Conduit shall provide reasonable assistance to Controller in responding to requests from Data Subjects to exercise their rights under Applicable Data Protection Laws, provided that Controller shall be responsible for responding to such requests.
Conduit may charge reasonable costs for assistance that requires material additional effort beyond standard service functionality.
Children’s Data
To the extent Controller provides Personal Data relating to children under the age of thirteen, Controller represents that it has obtained all legally required consents under COPPA. Conduit shall process such data only in accordance with Controller’s instructions and Applicable Data Protection Laws.
Communications Monitoring and Tracking Technologies
To the extent the services involve tracking technologies or communications-related functionality, Controller is responsible for ensuring that appropriate disclosures and consents are obtained. Conduit shall implement such technologies only as configured or instructed by Controller and shall not independently deploy tracking mechanisms beyond the scope of the services.
Security Measures
Conduit shall implement and maintain reasonable and appropriate technical and organizational measures designed to protect Personal Data, taking into account the nature of the data and the risks involved. Conduit may update or modify its security measures from time to time, provided that such updates do not materially decrease the overall level of protection.
Security Incidents
Conduit shall notify Controller without undue delay after becoming aware of a Security Incident involving Personal Data. Such notification shall include information reasonably available to Conduit at the time. Conduit shall take commercially reasonable steps to investigate and mitigate the effects of the Security Incident.
Subprocessors
Controller provides general authorization for Conduit to engage subprocessors. Conduit shall maintain a list of subprocessors and shall provide notice of material changes upon request.
Conduit shall ensure that subprocessors are subject to contractual obligations that provide a level of data protection appropriate to the processing. Conduit shall remain responsible for its direct obligations under this DPA.
International Data Transfers
Conduit may transfer Personal Data internationally as necessary to provide the services, provided that it implements appropriate safeguards in accordance with Applicable Data Protection Laws, including, where applicable, Standard Contractual Clauses or similar mechanisms.
Retention and Deletion
Conduit shall retain Personal Data in accordance with its standard retention practices, unless otherwise agreed in writing. Upon termination of the Agreement, Conduit shall delete or return Personal Data in accordance with its standard processes, unless retention is required by law or reasonably necessary for legal, compliance, or backup purposes.
Audit Rights
Conduit shall make available information reasonably necessary to demonstrate its compliance with this DPA. To the extent Controller requires an audit, the parties shall mutually agree on the scope, timing, and manner of such audit, and Conduit may satisfy audit requests through third-party certifications or audit reports.
Any on-site audit shall be subject to reasonable advance notice, confidentiality obligations, and reimbursement of Conduit’s reasonable costs.
Confidentiality
Conduit shall ensure that personnel authorized to process Personal Data are subject to appropriate confidentiality obligations.
Indemnification
Each party shall be responsible for its own compliance with Applicable Data Protection Laws. Conduit shall indemnify Controller only to the extent that a claim arises directly from Conduit’s material breach of this DPA.
Limitation of Liability
Conduit’s liability arising out of or related to this DPA shall be subject to the limitations and exclusions of liability set forth in the Agreement.
Order of Precedence
In the event of any conflict between this DPA and the Agreement, this DPA shall control with respect to data protection obligations.
Term
This DPA shall remain in effect for as long as Conduit processes Personal Data on behalf of Controller.
Governing Law
This DPA shall be governed by the governing law specified in the Agreement, except to the extent Applicable Data Protection Laws require otherwise.
Controller Data Rights and Consents
Controller represents and warrants that it has provided all notices and obtained all rights, permissions, and valid consents required under Applicable Data Protection Laws for Conduit to collect, use, disclose, transfer, and otherwise process Personal Data in connection with the services, including for any processing expressly permitted under this DPA.
Without limiting the foregoing, Controller represents and warrants that such rights and consents extend to Conduit’s use of Personal Data for the business purposes described in this DPA, including the creation and use of deidentified, anonymized, or aggregated data derived from Personal Data, provided that such data does not identify any individual.
Controller shall be solely responsible for the adequacy, accuracy, and lawfulness of the Personal Data provided to Conduit and for ensuring that such data was collected in compliance with Applicable Data Protection Laws, including where required in connection with tracking technologies, communications monitoring, or children’s data.
Conduit shall have no obligation to independently verify the sufficiency of Controller’s notices or consents, and Conduit shall not be liable for any failure by Controller to obtain appropriate rights or permissions.
Exhibit C
Processes & Procedures
Operational terms for working with Conduit: how each service line is priced and billed, what happens at onboarding, launch, cancellation, and offboarding, and the deliverables and turnaround times each account can expect.
Service Lines & Terms
Conduit Pricing | Paid Media Services
For Paid Media, your insertion order and change order will require the platform budget. This budget is what will be spent in the platform and is not inclusive of any additional fees or expenses. Paid media platforms will require Company or the Company’s Client credit card(s) to be identified as payment methods within the platform.
The management fee % will then be taken as a percentage of the paid media platform budget to determine invoicing. Paid Media Services will be delivered as scheduled and an invoice will be sent within five business days of next calendar month.
If “Ongoing” is selected as the end date within the Insertion Order, the campaign will run, and invoice, until a change order form for cancellation is submitted by the Company.
Conduit Pricing | Programmatic Services
For programmatic platforms, your insertion order and change order will require the desired monthly impressions and retail CPM to determine invoicing.
Programmatic campaigns submitted for greater than $10,000 per month/flight will require pre-payment of the entire fee.
Conduit Pricing | SEO
Budgeting and Deliverables
All insertion orders and change orders must reflect the agency’s quarterly budget commitment for SEO services. Any account with less than $7,497 quarterly budget ($2,499/month equivalent) will have the option to choose from Conduit’s set packages with predefined deliverables. A $259 one-time launch fee per client, per channel will be applied at onboarding.
Billing Cycle
SEO services are now structured as quarterly deliverables, billed monthly. New accounts onboarding at different times during the quarter will be billed as follows:
- Month 1 Onboarding (Start of Quarter): Full deliverables, full quarter commitment. Three invoices (one per month).
- Month 2 Onboarding: Up until the 15th of the second month, the Company will receive full deliverables, and full quarter payment will be required. Two invoices (one per remaining month).
- Month 3 Onboarding: $695 baseline audit fee + quarterly roadmap, with one invoice covering the remaining month of the quarter.
Late Onboarding Considerations
If an account is onboarded before the 15th of the second month, they will receive full deliverables and will be billed for the full quarter. If onboarding occurs after the 15th of the second month, the agency will be charged the $695 baseline audit fee plus a quarterly roadmap, rather than full deliverables.
Conduit Pricing | Account and Campaign Setup & Launch Fees

One-Time Flights
A One-Time Flight is a Digital Marketing Services Campaign that is no longer than 45 days in length at maximum. The specified budget within the Insertion Order will be for the duration of the flight. The campaign will be invoiced for delivery within each calendar month. Launch fees will be invoiced per channel within the month the Insertion Order is submitted.
Over Delivery
Where the Company/Client is responsible for the Platform Budget, Conduit will issue a rebate for overages over 1.5% within the scheduled monthly budget.
Under Delivery
If under-delivery results in a change in the management fee tier range, your Company will be billed for the tier in which the campaign was originally submitted.
If the Account under-delivers the projected spend in consecutive months, as a result of campaign limitations out of Conduit control, the scheduled budget will be adjusted to reflect a budget that can be delivered (based on previous data) and the new budget will determine the pricing tier, which will be communicated to the Company by Conduit.
À la Carte Services
À la Carte Services will be invoiced together with digital marketing services each calendar month in which the order is submitted.
Account Transitions
Conduit will bill for platform spending occurring post-transfer for Paid Media campaigns transferring mid-month.
Billing & Payment Terms for Cancellations
Account Cancellations | Paid Media & Programmatic
Change Order form for cancellations will be processed, and the client/campaign will be ended by the close of the following business day (5:30 pm EST) after form submission (or a later date if specified).
Company will be invoiced for exact delivery as of the campaign cancellation effective date.
Account Cancellations | SEO
Quarterly Commitment & Cancellation
All SEO accounts must commit to a full quarter of service. Cancellations will be processed at the end of the quarter in which the agency cancels. If an agency cancels before the end of the quarter, they will be subject to a penalty equivalent to the remaining balance of the quarter. Agencies should update their own client contracts to reflect this quarterly commitment to ensure alignment with Conduit’s terms.
Deliverables & Cancellation Terms
Agencies will continue receiving deliverables until the end of the quarter, even if cancellation is submitted prior to completion. Conduit will not reimburse for unposted drafts if the client decides to cancel and does not want previously approved posts published. No revisions will be made once a cancellation is submitted.
Company Policy Alignment
Agencies should ensure their own cancellation policies mirror Conduit’s quarterly commitment policy to avoid revenue loss and potential disputes. It is the agency’s responsibility to maintain a clear contract with their clients reflecting Conduit’s non-refundable quarterly structure.
Company Offboarding
Upon the effective termination date, Conduit shall remove access to the Conduit Company Hub and all proprietary Conduit deliverables including but not limited to: Company Billing Dashboard, Company Performance Dashboard, and Supporting Dashboards, individual accompanied reporting extensions, and all applicable project management and communication channels.
Offboarding | Paid Media & Programmatic
Upon cancellation, or conclusion of the campaign, the Company client will enter our offboarding process.
APP access will be terminated within the first ten (10) days of the calendar month following the campaign’s end. The client/agency is responsible for the deactivation and termination of any access provided to Conduit Digital or Reporting.Ninja. At the conclusion of any campaigns (whether paused, canceled, or just not renewing), if the Company or Client intends on running in that specific account, it is the Company’s responsibility to review/edit/disable any campaign settings, including but not limited to scripts, dayparting, keywords, ad copy, rules, etc.
Offboarding | SEO
Agencies and clients will enter offboarding procedures at the end of the quarter. Platform access (Performance Dashboard, Reporting.Ninja) will be terminated within 10 days of the new quarter. The agency/client is responsible for revoking access granted to Conduit within their own systems.
Company Deliverables
Company-Provided Materials
Company shall provide Conduit with all relevant information, content, and materials, including materials owned by the Client, as specified on the SOW, submitted or as otherwise required for Conduit’s performance of the services (the “Company Materials”). All Company Materials provided by the Company to Conduit in connection with digital marketing services shall be subject to approval by Conduit. If Conduit is missing or pending a Company Material for a campaign and does not receive it prior to launch, Conduit will put the campaign on hold.
If any Company Material is inadequate or unacceptable, the Company will be notified, and any concerns must be immediately addressed by Company. Until Conduit receives and approves the required Company Material, the campaign will be put on pause. Once Conduit receives the material, there will be a three business day review, reinitiation, and launch timeline.
Conduit’s use or approval of any Company Material shall not affect Company’s indemnity obligations.
Communications
Communication within our Project Management Platform, Teamwork, is intended to be between Conduit and Company only; Company clients shall not be permitted to communicate via this platform.
Conduit will create a Company-level “project” for general communication within Teamwork with the Company, as well as Client-level projects to discuss specific project matters. Conduit is not responsible for any deficiency in the delivery of services caused by information that occurs outside of the platform.
Any delay in communication by the Company will affect timelines of agreed-upon deliverables by, at minimum, the delay caused by the Company.
Access to Complete Suite of Services & Company Support
With access to Conduit’s Complete Digital Marketing Suite of Services, the agency can purchase and resell Conduit Products and Services.
The Company shall be obligated to designate the following roles:
- Company Relationship Manager (CRM): Point of contact for agency-level discussion
- Company Account Manager (CAM): Point of contact for account-specific communication
The Company Relationship Manager and Company Account Manager are allocated a set amount of collective monthly hours by Conduit towards each agency/account within the Company’s book of business based on the agency/account’s monthly billing.
Company HUB & Help Center
Each Company will receive access to the Conduit Company Hub, which will house all the necessary collateral and details for the Company to maximize its opportunity with Conduit by delivering a one-stop-shop experience for Company. The agency owner will have the discretion to grant access to team members with levels they see fit.
The Help Center will be a resource where Conduit will house relevant questions and content to arm Company Contacts with the necessary information to best work with Conduit.

Sales Support Services
Conduit will make available to Company sales support services, which may be purchased (fee outlined in the most current version of the rate card) by the Company for services that are outside the scope of the Digital Marketing Services Deliverables.
These additional strategic services may include but are not limited to Market Opportunity Assessments, Strategic Recommendations (Lite and Pro), Land and Expand, and other strategic sales support such as Data and Analysis, Media Planning, and Training. Conduit will provide access to strategic sales services after 30 days of partnership.
Performance Dashboard
Conduit will provide to Company, via Conduit’s Company Performance Dashboard, access to reporting of industry-standard metrics related to Conduit’s services.
- If a One-Time Flight (see Digital Marketing Services Deliverables) spans multiple calendar months, the Company Performance Dashboard fees will be charged for each such month of the Flight.
- The Conduit Company Performance Dashboard is invoiced monthly per client.
- Monthly pricing is identified on the rate card attached to this agreement.
Account Deliverables
Insertion Orders & Change Orders
The receipt of any Insertion Order or Change Order shall be binding for service fulfillment and Account billing purposes and will supersede any previously submitted Insertion Order. This Insertion Order or Change Order is to be completed by the designated agency contact(s).
Conduit provides the Company access to the Insertion Order via the Conduit Agency (Company) Hub. One Insertion Order will be submitted for each Company client/campaign. Written, or recorded verbal, approval is required to update in Teamwork for any changes to the campaign.
Conduit assumes that any Insertion Order submitted via the Company Hub was done so by an authorized user, and the Company must identify any improper order submissions prior to launch.
Bulk Transitions
When an agency initiates its partnership with Conduit by transitioning a portfolio of accounts, they have the option to proceed with a Bulk Transition.
The Insertion Order requirement for all onboards will be waived for Bulk Transitions, and in its place the agency will be required to fill out a Bulk Transition sheet prior to their Company Welcome Call.
The onboarding process will remain the same as with an Insertion Order (Kick Off Call, Launch Blueprint, etc.) with the exception that if the accounts onboarding are to be taken over AS IS, Conduit can take over management of the campaigns on Business Day 3 (the Business Day following the KO Call). Any accounts that require a new build will adhere to the typical 5 Business Day turnaround.
The accounts provided in the Bulk Transition sheet and the agreed-upon Bulk Transition rate will be applicable if all accounts on the sheet are onboarded within 60 days.
Required Access Prior to Account Kickoff Call
Conduit must have access granted in order to run campaigns, and it must be shared through the procedures outlined in our Help Center. Sharing access in any other way is not permitted and will not give Conduit the level of access needed in order to manage campaigns using our proprietary Company Performance Dashboards.
The kickoff call will not be scheduled until all access is granted.
Google Analytics & Google Tag Manager
- Admin (Analytics) / Publish (GTM) level access is to be granted to admin@reporting.ninja and confirmed with the Company Success Manager once done.
- If a Google Tag Manager container is not already implemented, Conduit will provide a container to be installed on the website by the client.
- Conduit will install the GTM container if website CMS access is provided within the IO. In cases where Conduit owns the GTM container, Conduit will not be able to reassign ownership at cancellation.
Creative Assets
Creative assets will be provided by Company, or ordered for production by Conduit, prior to scheduling a kickoff call. For platforms that require creative, campaigns will not be able to go live until these are received.
Other
For CMS, or applicable platforms, Conduit will not use a username/password that has previously existed and is in use by anyone outside of Conduit.
Platform-specific access will be documented within the Conduit Company Hub and will be required to schedule a call.
The Kickoff Call
The Account Kickoff Call will consist of a 30-minute (maximum) meeting with the Company Account Manager and all applicable Ad Operations Analysts to discuss campaign goals, Key Performance Actions (KPAs), tracking, obstacles, set expectations, and any information and/or questions pertinent to the success of the Digital Marketing Campaign.
- Account Kickoff Calls will be available for accounts spending over $4,000.00 monthly.
- The Account Kickoff Call cannot occur during the first four (4) business days of the calendar month.
- Company clients desiring to start within the first week of the calendar month should have orders submitted and kickoff calls scheduled in the previous month.
Campaign Launches
Campaigns will go live either three business days after the Account Kickoff Call or on the date specified in the Insertion Order. The exact launch date will be determined and confirmed during the campaign’s Account Kickoff Call, facilitated by the Company Account Manager.
Conduit creates a Launch Blueprint, designed to help the Company and the end client better understand the structure in which their paid media or CPM campaigns have been built and the onboarding/transition process.
If a Launch Blueprint approval is required due to the client’s industry, it must be acknowledged and accepted by the Company Account Manager. Upon approval, campaigns will be activated within one business day.
There is no Launch Blueprint for SEO or Social Content campaigns.
Any delays in approval from the Company or Company’s Client may result in a delay in the desired campaign launch date.
Naming Conventions
Conduit has specific naming conventions required in our platforms to pull data into our reports and internal processes. If, for whatever reason, naming conventions in-platform cannot be altered, please let your AAM know before campaign submission and we can discuss possible solutions.
Key Performance Actions (KPAs)
KPAs will dictate decisions made by the Conduit Ad Operations team throughout the campaign.
The Company and Conduit should agree that these metrics and overall campaign goals will be what determines a successful campaign.
There must be alignment on up to two KPAs: one primary KPA, one secondary KPA. Other actions can be tracked, but will not be shown in the Company Performance Dashboard.
Conduit is able to utilize existing KPA tracking or will implement all required KPA tracking as possible.
If any of the KPAs are unable to be tracked, the Conduit team will identify them before the campaign launch and will adjust KPA prioritization accordingly.
Monthly Reporting
A monthly recap or analysis will be provided, at the platform/account level, within our project management platform. The level of reporting is determined by the account tier. Monthly recaps or analysis will be sent by the 4th business day of the calendar month.

Company Performance Dashboard
A Company Performance Dashboard will be provided for every account, at the rate designated in the current Conduit Rate Card, unless otherwise specified by Company. The Company Performance Dashboard will include Platform and Analytics Data (if applicable). Conduit is subject to the platform limitations of our reporting partners and platforms.
Data within the Company Performance Dashboard is updated in increments of 2 hours, 6 hours, or 24 hours depending on the API capabilities of the marketing platform utilized. The Company Performance Dashboard layout or data fields cannot be customized on an account basis as part of the standard offering.
Turnaround Time | Insertion Order
- Day 0: Insertion Order Submitted & All Access and Assets Received. All required access and assets need to be submitted with the Insertion Order for the timeline to progress past Day 0.
- Business Day 1: Day of Preparation. A full day is required for our Analysts to prepare for the kickoff call.
- Business Day 2: The Kickoff Call. If the call results in additional assets required for the campaign to go live (i.e. new creative, landing pages, etc.), this will result in a possible delay in turnaround times for the campaign to go live.
- Business Day 5: Launch Blueprint Submission & Campaign Live (Pending Approval If Applicable). The live message, containing the Launch Blueprint, will be sent via the Project Management Platform.
- Business Day 7: Company Performance Dashboard. The Panel will be sent and access will be granted to all emails requested on the Insertion Order.
Turnaround Time | Renewal
- Day 0: Renewal Form Submitted & All Access and Assets Received.
- Day 2: Campaign will be turned back on and confirmed via TW message (unless a live date was specified).
Turnaround Time | Cancellation & Pauses
- Day 0: A cancellation or campaign pause is initiated via Revision Form or TW message (the Company’s Account Manager and Account Admin must both be tagged when pausing/canceling an account). The Account Admin will confirm receival via TW message.
- Day 1: Campaigns will be paused within 1 business day unless otherwise noted to cancel/pause on a specific date.
Turnaround Time | Creative Revisions
- Day 0: New creative is provided in TW specifying the specific dates to run the creatives. Creatives will be marked as ongoing unless otherwise specified.
- Day 2: Creatives will be implemented and confirmed live via TW message (unless a live date was specified).
Turnaround Time | Communication
- Conduit will provide a response within 24 hours to the Company.
- If a question or request comes in before 12:00 pm EST, Conduit will respond by 5:00 pm EST to the Company.
- If a question or request comes in after 12:00 pm EST, Conduit will respond by 12:00 pm EST the following day to the Company.
- In either scenario, this does not guarantee an answer; this guarantees a response.
Whitelabel Exposure
As specific platforms are unable to be completely white labeled by the Conduit team, a section within the Conduit Company Hub contains documentation on current white label exposure by platform, and how to handle this in the recommended way to limit exposure (if desired).
Conduit has in good faith listed every white-label exposure we’ve identified by platform; however, platforms constantly change their processes, which may lead to a situation not listed that would expose a name or Reporting.Ninja email from a Conduit employee.

SEO Content
Launch Policy. SEO accounts must have access by the 15th of the month to maintain turnaround times and monthly deliverables in the month of submission. Any dates after this will view the first of the following month as the official start date.
PII Process
The way Conduit requires the Company to provide PII data for a campaign is by either the Company or the Company’s client directly uploading it into the platform. Once it’s uploaded, it must be communicated to your Conduit Account Manager with the name of the customer list and other key details. All PII usage is governed by the Data Processing Addendum entered into by the Company and Conduit.

Digital Marketing Fulfillment
Our efforts, defined as Digital Marketing Fulfillment, will be focused on campaign optimization towards KPA performance, optimizations towards delivering the budget in full, conducting tests to push performance forward, and creative/campaign revisions as submitted via the Company.

Agency acknowledges that a successful campaign launch requires precise tracking implementation, optimized targeting configuration, and a seamless technical rollout, and that such work establishes the foundation for campaign performance. The one-time fees listed reflect the strategic planning, technical setup, and custom configuration required to establish a high-performing campaign environment.
- Such fees are non-recurring, are due upon initiation of the applicable setup work, and are separate from and in addition to any ongoing management or media fees set forth elsewhere in this Agreement.

Paid Media
With our Paid Media, the budget you request on the IO is exactly what will run in the platform. Want to run $5,000 of Meta ads? Submit that dollar amount on the IO and that’s what will go directly in the platform. $3,000 of Google Ads? Same exact deal. The budget from the order goes directly in the platform and the associated management fee is billed on top. In the case of the $5,000 Meta order, a $749.50 management fee (14.99%) will be charged for the $5,000 that is run in the platform.

Programmatic
With Programmatic, impressions are the main deliverable. When you go to submit an IO for a Programmatic solution, impressions (or sends for Email) are what you’ll be submitting and will be what the campaign paces towards. You will be billed based on a net CPM associated with that product. For example, say you have a client that wants to run Programmatic OTT. You would sell them on a certain number of OTT impressions at whatever CPM you determine is best. In this scenario, say they want 200,000 impressions (or commercials). Your charge from us would be $4,998 (200,000 impressions at our $24.99 net CPM). When the campaign is started, the client will receive 200,000 OTT impressions.
